Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("Customer") and Billslash, Inc. ("Billslash"). By creating an account or using the Service you agree to these Terms.
1. The Service
Billslash provides a CRM and email outreach platform ("Reach") and related services as documented at billslash.app. We may modify features over time and will provide reasonable notice of breaking changes.
2. Accounts
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must promptly notify us of any unauthorized use.
3. Subscriptions & Billing
Plans are billed monthly or annually in advance and renew automatically until canceled. Fees are non-refundable except where required by law. We may change pricing on at least 30 days' notice; price changes take effect at the next renewal.
4. Customer Data & Acceptable Use
You retain all rights to data you upload ("Customer Data"). You grant Billslash a worldwide, royalty-free license to host, process, and transmit Customer Data solely to provide the Service. You must comply with our Acceptable Use Policy and with all laws applicable to the email you send, including CAN-SPAM, GDPR, CASL, and PECR.
5. Deliverability Disclaimer
Billslash does not guarantee inbox placement, open rates, reply rates, or delivery to any specific recipient. Outcomes depend on your domain reputation, content, list quality, and recipient mail providers. Warmup, rotation, AI suggestions, and deliverability scores are best-effort aids.
6. Service Levels
We target 99.9% monthly uptime for the application API. Scheduled maintenance is announced in advance. Outage credits, where applicable, are documented in your order form.
7. Security & Privacy
Billslash maintains administrative, technical, and physical safeguards designed to protect Customer Data. See the Privacy Policy and Data Processing Addendum.
8. Confidentiality
Each party will protect the other's confidential information with the same standard of care it uses for its own (no less than reasonable care) and will use it only to perform under these Terms.
9. Term & Termination
These Terms continue while you have an active subscription. Either party may terminate for material breach not cured within 30 days of notice. You may export your data for 30 days after termination; thereafter we delete it within 90 days.
10. Warranties & Disclaimers
EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. EACH PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO BILLSLASH IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You will defend, indemnify, and hold Billslash harmless from third-party claims arising out of your Customer Data or your violation of these Terms or applicable law.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts of laws. Exclusive venue lies in the state and federal courts of New Castle County, Delaware.
14. Changes
We may update these Terms with at least 30 days' notice. Continued use after the effective date constitutes acceptance.
